By engaging PixaLabs for services or using our website, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

PixaLabs provides professional AI development, consulting, and technical services including:

• • AI Development: Custom machine learning models and AI solutions
• • Process Automation: Workflow automation with n8n, Mastra AI, and agentic systems
• • Web Development: Modern web applications with AI integration
• • Blockchain Development: Smart contracts and DApps on Cardano and Ethereum
• • Consulting Services: Technical advisory and strategic planning
• • Integration Services: AI system integration and API development

Clients are responsible for:

• • Providing accurate project requirements and specifications
• • Timely provision of necessary data, access, and resources
• • Compliance with applicable laws and regulations
• • Payment of fees according to agreed terms
• • Maintaining confidentiality of proprietary information
• • Providing feedback and approvals within specified timeframes

Client-Owned IP

• • Custom-developed solutions become client property upon full payment
• • Client data and business information remain client property
• • Specific deliverables as outlined in project agreements

PixaLabs-Retained IP

• • General methodologies, frameworks, and best practices
• • Pre-existing tools and proprietary technologies
• • Knowledge and experience gained during projects

• • Project Deposits: 50% deposit required to commence work
• • Milestone Payments: Payments due upon completion of agreed milestones
• • Payment Terms: Net 15 days from invoice date
• • Late Payments: 2% monthly interest on overdue amounts
• • Currency: All payments in USD or AED as agreed
• • Taxes: Client responsible for applicable taxes and duties

Both parties agree to maintain strict confidentiality regarding:

• • Proprietary business information and trade secrets
• • Technical specifications and implementation details
• • Financial information and commercial terms
• • Personal data and sensitive information
• • Project details unless explicitly authorized for disclosure

Our Warranties

• • Services performed with professional skill and care
• • Compliance with agreed specifications and requirements
• • 90-day warranty on delivered solutions for defects
• • Correction of errors at no additional cost during warranty period

Disclaimers

• • No guarantee of specific business outcomes or results
• • AI model performance may vary with different data sets
• • Third-party service availability and performance not guaranteed
• • Client responsible for data backup and security

PixaLabs' total liability for any claim shall not exceed the total amount paid by the client for the specific project. We are not liable for:

• • Indirect, consequential, or punitive damages
• • Loss of profits, data, or business opportunities
• • Third-party claims or actions
• • Force majeure events beyond our reasonable control
• • Client's failure to follow recommendations or best practices

Either party may terminate services under the following conditions:

• • 30 days written notice for convenience
• • Immediate termination for material breach
• • Non-payment of invoices beyond 30 days
• • Violation of confidentiality or intellectual property terms

Upon termination, client pays for work completed and receives deliverables for paid milestones.

• • These terms are governed by UAE law
• • Disputes subject to Dubai courts jurisdiction (Rakez Freezone)
• • Mediation preferred before litigation
• • English language version prevails in case of translation disputes
